Terms & Conditions

The following is the Membership Agreement between the Provider of the Membership Service, Rx Options, Inc., (hereinafter "Rx Option"), the product, Rx Options™ Benefit Cost-Sharing Program (herein after "Rx Options™") and the enrolled member of the Membership Service (Member). This is a benefit cost-sharing membership program and is not insurance. IF YOU HAVE ANY QUESTIONS, CALL OUR CUSTOMER SERVICE REPRESENTATIVES AT THE TOLL-FREE NUMBER ON YOUR MEMBERSHIP CARD OR ON THE "CONTACT US" PAGE.

Program Offer

You are enrolling in the Rx Options™benefit cost-sharing program. Member will be entitled access to all the benefits available to program members for as long as you maintain continuous membership. Member will be charged a $20.00 non-refundable enrollment fee. Member's monthly membership fee will automatically be charged to the billing source authorized by Member and you will become eligible for benefits on the first day of the month following your enrollment. Each month thereafter Member will be automatically charged the membership fee will be debited on the 20th of the month for continued enrollment in the program. If You decide to cancel, you must notify Rx Options, in writing, at Barrington Town Square, Aurora, Ohio 44202, Attn: Membership Department; or by sending us an e-mail through the "Contact Us" page of this web site, prior to the 15th of the month in which you wish to cancel. Cancellations received after the 15th of the month will be processed on the last day of the following month.

Membership Benefits

As a Member, you are entitled access to discounts and/or other benefits on certain products and services offered by participating vendors. Benefits are explained in the "Program Benefits" section of www.RxOptionrx.com. Some of the Benefits may not be available in Member's area and outside the United States.

Membership Term

Membership is effective for a period of twelve (12) months following the membership enrollment date under the annual membership plan, or for the period agreed upon under the installment membership plan authorized by Member.

Renewal of Membership

Unless Member notifies Rx Option that Member wishes to terminate this Agreement and cancel Membership by following the instructions found below in Section 8, Membership will be renewed automatically and Member will be billed the then-current Membership Fee which will appear on Member's credit/debit card statement. We reserve the right to increase or decrease the Renewal Fee for each new Membership Term.

Payment of Membership Fee

The payment of the Membership Fee (and, if applicable, any shipping and handling charges) is made automatically by a direct charge(s) to the billing source authorized by Member in accordance with the payment terms to which Member agreed.

Use of Membership

Your Membership is non-transferable. Member agrees that only Member and Member's Immediate Family living in your home may use the Membership. This includes your spouse, life partner and children living at Member's home. Member will promptly notify Rx Option if Member becomes aware of any unauthorized use of the Membership card or Membership number, or if the Membership card is lost or stolen.

Disclaimer of Liabilities

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

• RX OPTION MAKE NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO ANY OF THE BENEFITS OR RELATED INFORMATION PROVIDED TO MEMBER.
• UNDER NO CIRCUMSTANCES SHALL RX OPTION'S LIABILITY EXCEED YOUR CURRENT MEMBERSHIP FEE AND UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE FOR MEMBER'S INCIDENTAL OR CONSEQUENTIAL DAMAGES.
• RX OPTION RESERVES THE RIGHT TO ELIMINATE, ADD, CHANGE AND SUBSTITUTE BENEFITS AND PARTICIPATING VENDORS WITHOUT NOTICE TO MEMBER.
• RX OPTION ASSUMES NO RESPONSIBILITY FOR THE PAYMENT OF OR CONTRIBUTION TO ANY USE OR SALES TAX ON THE BENEFITS WHICH MAY BE IMPOSED BY TAXING AUTHORITIES AND SUCH TAXES, TO THE EXTENT IMPOSED, SHALL REMAIN MEMBER'S SOLE RESPONSIBILITY OR THAT OF THE PROVIDER OF THE BENEFITS, AS THE CASE MAY BE. RX OPTION DOES NOT ASSUME ANY RESPONSIBILITY FOR ANY SHIPPING AND HANDLING CHARGES AND SUCH CHARGES SHALL REMAIN YOUR SOLE RESPONSIBILITY OR THAT OF THE PROVIDER OF THE BENEFITS, AS MAY BE THE CASE.
• MEMBER IS SOLELY RESPONSIBLE FOR ANY "OVERDRAFT" OR "OVER THE LIMIT" FEES INCURRED BY YOU IN CONNECTION WITH ANY MEMBERSHIP OR RENEWAL FEES AND ANY OTHER AMOUNTS INCURRED BY MEMBER WHEN YOU USE THIS PROGRAM.
• THE SERVICE AVAILABLE THROUGH OUR WEB SITE (THE "SERVICE") IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MEMBER USES IT AT MEMBER'S SOLE RISK. RX OPTION EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
• WITHOUT LIMITATION, RX OPTION MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET MEMBER'S PURPOSES OR REQUIREMENTS; (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH OUR SERVICE WILL MEET MEMBER'S EXPECTATIONS; AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
• ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE OR ANY WEB SITE MAINTAINED BY US OR ANY PARTICIPATING VENDOR IS DONE AT MEMBER'S OWN RISK AND MEMBER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO MEMBER'S COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
• NO ADVICE OR INFORMATION OBTAINED BY MEMBER FROM RX OPTION'S PERSONNEL OR THROUGH RX OPTION'S SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY PROVIDED FOR IN THE TERMS OF SERVICE.
• FURTHER, MEMBER EXPRESSLY UNDERSTANDS AND AGREES THAT RX OPTION SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF RX OPTION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR INABILITY TO USE THIS WEB SITE AND/OR THE MEMBERSHIP SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED, OR MESSAGES RECEIVED, OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THIS WEB SITE AND/OR THE MEMBERSHIP SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY AS THEY RELATE TO THIS WEB SITE AND/OR MEMBERSHIP SERVICE; OR (v) ANY OTHER MATTER RELATING TO THIS WEB SITE AND/OR THE MEMBERSHIP SERVICE.
• IN ORDER TO USE THIS SITE, MEMBER MUST HAVE AUTHORIZED ACCESS TO THE WORLD WIDE WEB, EITHER DIRECTLY OR THROUGH DEVICES THAT ACCESS CONTENT AVAILABLE TO ALL US CITIZENS ON THE WORLD WIDE WEB. MEMBER MUST HAVE AUTHORIZED ACCESS EQUIPMENT NECESSARY TO MAKE SUCH CONNECTION TO THE WORLD WIDE WEB, INCLUDING A COMPUTER AND MODEM OR OTHER ACCESS DEVICE. MEMBER IS SOLELY RESPONSIBLE FOR MEMBER'S RIGHTS AND PERMISSIONS TO ACCESS THE WORLD WIDE WEB, AS WELL AS ALL CHARGES ASSOCIATED WITH MEMBER'S CONNECTING TO THIS WEB SITE.

Exclusions and Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Termination Of Membership

MEMBER MAY TERMINATE THIS AGREEMENT AND YOUR MEMBERSHIP AT ANY TIME BY CALLING RX OPTION AT THE TOLL FREE NUMBER LISTED ON OUR WEBSITE, IN PROMOTIONAL MATERIALS OR IN YOUR WELCOME PACKET, OR E-MAIL US AT THE "CONTACT US" PAGE OF THIS SITE, OR BY NOTIFYING US IN WRITING AND SENT PRE-PAID CERTIFIED US MAIL TO: RX OPTIONS, INC. 2181 East Aurora Rd. NW, Twinsburg, OHIO 44087, ATTN: MEMBERSHIP SERVICES. MEMBER'S CANCELLATION WILL BE EFFECTIVE ON THE LAST DAY OF THE MONTH IN WHICH CANCELLATION IS RECEIVED IF RECEIVED PRIOR TO THE 15TH OF THE MONTH. CANCELLATIONS RECEIVED AFTER THE 15TH OF THE MONTH WILL BE PROCESSED AND APPLIED THE LAST DAY OF THE FOLLOWING MONTH AND MEMBER WILL BE RESPONSIBLE FOR PAYMENT MEMBERSHIP FEES FOR SAID MONTH. ANY FEES OR CHARGES INCURRED OTHER THAN THE MEMBERSHIP FEE WILL CONTINUE TO BE MEMBER'S RESPONSIBILITY. WE MAY TERMINATE THIS AGREEMENT AND YOUR MEMBERSHIP AT ANY TIME UPON WRITTEN NOTICE TO YOU AND REFUND OF YOUR THEN CURRENT MEMBERSHIP FEE. THE INITIAL ENROLLMENT FEE IS NON-REFUNDABLE.

Modification of Service

Member agrees that at Rx Option's sole discretion and without prior notice or liability, Rx Option may at any time either temporarily or permanently discontinue or modify any aspect of any of our web site including without limitation: (i) restricting the time our site is available: (ii) restricting the amount of use permitted; and (iii) restricting or terminating any user's right to use or access our site.

Access to Member's Account

In order to permit Rx Option to protect the quality of our site and services, Member hereby consents to Rx Option employees being able to access Member's account and records as necessary to investigate complaints and other allegations or abuse. Member acknowledges that Rx Option shall not disclose the existence or occurrence of such an investigation unless required to by law.

Site Links

Envision, Rx Option's web site may include links to other Internet sites maintained by third parties ("Linked Sites"). Rx Option provides Member access to Linked Sites solely as a convenience to Member. Rx Option has no control over Linked Sites. Member acknowledges and agrees that Rx Option is not responsible for the availability of Linked Sites and Member agrees and understands that inclusion of Linked Sites does not imply our endorsement of the Linked Sites or any content, advertising, products or other material available from Linked Sites. Member further agrees that Rx Option shall not be held responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any Linked Sites.

Privacy

Member has read Rx Option's Privacy Policy, the terms of which are incorporated herein and agrees that the terms of such policy are reasonable. Member consents to the use of Member's personal information by Rx Option and/or our third party providers and distributors in accordance with the terms and for the purposes set forth in our Privacy Policy.

Denial of Access

These Terms of Service constitute an agreement that is effective unless and until terminated by Rx Option. If Member fails to comply with any term or provision of this Agreement, Member agrees that Rx Option, in our sole discretion, may terminate Member's access to our web site.

Modification of Terms of Service

We reserve the right to change or modify these Terms of Service at any time and Member's continued use of this Site will be conditioned upon the Terms of Service in force at the time of Member use. Member can always check the most current version of the Terms of Service at this page.

You acknowledge that Rx Options, Inc. and RxOptions, Inc. web sites contains information, software, photos, video, text, graphics, music, sounds or other material (collectively, "Content") that are protected by copyrights, patents, trademarks, trade secrets, or other proprietary rights, and that these rights are valid and protect in all forms, media and technologies existing now or hereafter developed. All Content is copyrighted under U.S. patent, trademark and copyright laws as well as any other applicable law. The Rx Options™ name and logo are trademarks of Rx Options, Inc. All other trademarks appearing on our web site or on Linked Sites are the trademarks of their respective owners. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the Content in whole or in part.

Availability Restrictions

Member hereby acknowledges that the Membership Program is only available to residents of the United States. Orders to U.S. military post offices cannot be fulfilled.

MEMBER'S Responsibilities

Member agrees to: (I) use the content, services and the Rx Options™ Benefit Cost Sharing Program (hereinafter the "Program") solely for lawful purposes; (ii) to be solely responsible for the use of Member's password and/or login ID; (iii) not to sell, lease or sublicense the Program or any part thereof; (iv) not to modify, change, alter, translate or create derivative works from, reverse engineer, disassemble or decompile the Program in any way for any reasons; (v) not to provide, disclose, divulge or make available to, or permit use of the Program by, any third party other than your immediate family members and for the same purposes provided in the Agreement; (vi) not to copy or reproduce all or any part of the Program; (vii) not to interfere with the Program in any way; (viii) not to engage in spamming, mail bombing; spoofing or any other fraudulent, illegal, unauthorized or improper use of the Program; (ix) not to introduce into or transmit through the Program, or use of the Program, any virus, worm, trap door, back door, timer, clock, counter or other limiting routine, instruction or design; (x) not to remove, obscure or alter any copyright notices, trademarks or other proprietary notices affixed to or contained within the Program; or licensors and service providers, as well as hold Rx Option and our third party licensors and server providers harmless against any misuse, breach of this Agreement and/or breach of the intellectual property rights of a third party by Member.

Entire Agreement

This Agreement contains all of the Terms of Membership and no representations, inducements, promises or agreements concerning the Membership not included in this Agreement shall be effective or enforceable. If any of the terms of this Agreement shall become invalid or unenforceable, the remaining terms shall not be affected.

Governing Law

This Agreement and the Terms of Membership shall be governed and construed in accordance with the laws of the State of Nevada without giving effect to the choice of law provisions thereof. Any dispute arising between You and Rx Option will be resolved by submission to arbitration in Reno County, State of Nevada in accordance with the rules of the American Arbitration Association then in effect. Notwithstanding the foregoing, nothing in this Agreement is intended or shall be construed to negate or otherwise affect the consumer protection laws of the state in which member resides.
